Operation and Management: the borrower has under it scores of wholly-owned and affiliated enterprises. Because of the complex industries involved, its operation has encountered problems. According to the audit report by Beijing Jinhuarong Certified Tax Agent Co., Ltd (北京金华融税务师事务所), the borrower incurred losses of more than RMB 23M in 2005.

It was founded in July 1995, with a registered capital of RMB 500M. It has had a large quantity of investments nationwide. According to the annual inspection report in 2004, its total external investments had been exceeding RMB 1.2B, among which the investment to HT Securities Co., Ltd was up to RMB 500M. Its net assets added up to more than RMB 700M by December 31, 2004 and its profit after tax exceeded RMB 30M in 2004. The business covers real estate, finance, education, culture and venture capital, etc.

北京ST投资有限公司 was founded in 1999, with a registered capital of RMB 100M. It is a company of limited liabilities. It has 6.7% of its shares held by the borrower which is the superior company. It holds a large number of shares of ST Holding (ST控股) (0409) which is a company listed in Hong Kong. As disclosed by ST Holding at Hong Kong Stock Exchange on December 20, 2005: “北京ST投资有限公司, together with its affiliates (see IPO rules for definition) holds 407,110,053 shares consolidated of the company”, accounting for 26.94% of the total share capital. This guarantor is mainly engaged in capital operation, production and distribution of electronic products and related activities, network integration and value added serves.
